TERMS

The terms of this customer agreement contain important information about your legal rights, remedies and obligations. By participating in a CRUZ CLUB membership, you agree to comply with and be bound by the CRUZ CLUB and CRUZ CLUB BIZ terms described below.

This customer agreement (this “Agreement” or “Terms”) between you (“Subscriber,” “Member,” “you” or “your”) and Cruz Davis Dental PA. (the “Company,” “CDD,” “us,” “our,” “we,” or “Cruz Davis Family and Cosmetic Dentistry”) applies to your paid, trial, or other subscription ("Subscription" or “Membership”) to our membership programs ("CRUZ CLUB” and “CRUZ CLUB BIZ”).

IF YOU DO NOT CANCEL YOUR SUBSCRIPTION WITHIN THREE (3) DAYS OF THE START OF YOUR MEMBERSHIP, THIS AGREEMENT WILL BE LEGALLY BINDING ON YOU. YOUR MEMBERSHIP WILL BE DEEMED TO START ON THE DAY YOU SUBSCRIBE TO OR ARE ADDED TO A CRUZ CLUB SUBSCRIPTION. TO CANCEL A SUBSCRIPTION, PLEASE FOLLOW THE INSTRUCTIONS IN “A” BELOW.

If you purchase a Subscription, it will continue under this Agreement and will automatically renew on a monthly basis, at the rates in effect at that time, unless you cancel it.

Our Privacy Policy governs the treatment by us of both anonymous and personally identifiable information that we collect when you use the Services, payment systems, website (the “Site”), and it can be found at https://www.cruzdavisdental.com/dental-patient-resources.

Subscriptions are available for a variety of membership packages referred to in this Agreement as “Subscriptions” or "Memberships" or “Add-Ons”. Examples of our Memberships are “Smile” “Family of Four” “Periodontal Plus” as well as our CRUZ CLUB BIZ employer-subsidized memberships like “Biz Plan 15”. 

Subscriptions function on a monthly recurring payment plan referred to in this Agreement as the "Plan." See https://www.cruzdavisdental.com/cruz-club for current subscriptions rates and fees. Not all Memberships are available for all individuals, e.g. the subscriber must be in the right age range or have a particular diagnosis to participate in certain Subscriptions. We reserve the right to change, add, or delete content for any Subscription at any time. If during a comprehensive exam our doctor diagnoses a CRUZ CLUB member with periodontitis (disease affecting gum and bone), we will add the Periodontal Plus Add-On subscription to that patient's membership, effective immediately.

By joining a CRUZ CLUB membership, you are joining a subscription service and agree to a one-time membership Activation Fee in addition to your first month’s dues. Your future monthly dues will begin in approximately 30 days from the first billing date and will be automatically charged monthly after that time. Subscribers may cancel at any time, but no refunds will be issued.

By participating in CRUZ CLUB, you agree to pay at the time of service, or in advance, for any service or treatment not included in the patient’s Subscription(s). All subscription dues must be current in order to receive membership services, and any other balance due on a member’s family account must be paid in full before the office will schedule an appointment or treat any patient on that account. A lapse of 28 days in subscription dues will require a membership Reactivation Fee. This membership club and its benefits may not be used in conjunction with insurance, and member loyalty discounts may not be combined with any other offers or discounts.

It is the patient’s sole responsibility to schedule and keep their appointments, and to abide by all Cruz Davis Dental policies and fees, including its cancellation policies, which can be seen at https://www.cruzdavisdental.com/dental-patient-resources. No refunds will be provided for dues paid under any circumstances, including failure to schedule or maintain appointments. A member’s monthly agreement is with the legal entity of Cruz Davis Dental, PA. Monthly dues, associated fees, and dental service fees are subject to change.

For CRUZ CLUB BIZ Subscribers: In addition to the above terms, CRUZ CLUB BIZ memberships are only considered active when both the Employer portion and Employee portion of the subscription are paid in full. 

As a CRUZ CLUB BIZ participant, Employer understands that their Business will be subsidizing Employee dental care benefits by paying the agreed-upon monthly contribution for Employees’ CRUZ CLUB membership(s). Employer may also choose to extend CRUZ CLUB BIZ benefits to employee’s immediate household family members. Employer is only responsible for their contracted portion of monthly subscription fee, based on their selected Plan; Employee is responsible for all other fees and costs. 

Employer understands that CRUZ CLUB BIZ is a subscription service with automatic billing that will continue under this Agreement and will automatically renew on a monthly basis at the rates in effect at that time. Employee is solely responsible for any remaining costs associated with their CRUZ CLUB membership, as well as any other costs and fees incurred as a Cruz Davis Dental patient. In the event Employer fails to meet their financial obligations, all Employee CRUZ CLUB BIZ memberships and associated benefits and privileges will terminate. No refunds will be issued for dues paid for CRUZ CLUB or CRUZ CLUB BIZ.

If Employer adds a participant to their Company’s CRUZ CLUB BIZ membership, Cruz Davis Dental will add the Employer’s portion of the cost to Employer’s recurring monthly contribution total. If Employer removes a participant, Cruz Davis Dental will subtract Employer’s portion of the cost from Employer’s recurring monthly contribution. Employer may cancel CRUZ CLUB BIZ membership or add or delete plan participants at any time. Cancellations and other changes will be effective on the date we process Employer’s written notification. 

Employer understands that Employee must consent to a separate CRUZ CLUB member agreement and pay Employee portion before their enrollment is finalized. It is the patient’s sole responsibility to schedule and keep their appointments, and to abide by all Cruz Davis Dental policies, including its cancellation policies and fees, which can be viewed at https://www.cruzdavisdental.com/dental-patient-resources. 

Only Company owner or representative authorized to enter into contracts can enroll Company in CRUZ CLUB BIZ, thereby binding the company by the terms set forth in this agreement.

A. HOW TO CANCEL:

1. You may cancel your Subscription(s) at any time, though this Agreement will remain legally binding if you do not do so within three (3) days of the start of your Subscription. You can log into your subscription account to cancel any subscription or membership, or you can contact Cruz Davis Dental in writing to request CRUZ CLUB subscription cancellation. Please make sure you receive an E-mailed confirmation of cancellation. Your cancellation will be effective on the date it is processed. Remember that there will be a Reactivation Fee if you decide to subscribe to a membership plan in the future.

2. We may cancel your Subscription if you fail to pay for your Subscription, breach this Agreement, do not qualify for the Membership chosen, or for any other reason in our sole discretion. IF YOUR SUBSCRIPTION IS CANCELED, YOU ARE STILL RESPONSIBLE FOR PAYMENT OF ANY OUTSTANDING BALANCES ON YOUR OR YOUR FAMILY’S ACCOUNT, INCLUDING ANY FEES YOU MAY INCUR OR MAY HAVE INCURRED, AS DESCRIBED HEREIN.

B. CONTACT INFORMATION FOR ISSUES OTHER THAN CANCELLATION:

1. Contact information same as in “A” above, or by phone to 352-384-0050.

C. AUTOMATIC RENEWAL: A paid Subscription will continue monthly ("Subscription Term") and will automatically renew on a monthly basis, unless you cancel prior to the renewal or your Subscription is canceled by us. Your account will be automatically charged (or you will be billed, as applicable) at the rates in effect at the time of each renewal, plus applicable fees. If you do not accept the change in pricing, you have the right to reject the change by unsubscribing prior to the change taking effect. Changes in pricing will take effect at the start of the next subscription period following the date of the price change.

D. CHANGES IN TERMS: WE RESERVE THE RIGHT TO CHANGE THIS AGREEMENT AT ANY TIME.

ANY CHANGES WILL BE EFFECTIVE UPON POSTING OF THE REVISIONS, REFLECTING THE NEW EFFECTIVE DATE, AT THE WEBPAGE https://www.cruzdavisdental.com/cruz-club-terms. YOUR CONTINUED USE OF THE SERVICE FOLLOWING THE POSTING OF THE CHANGES WILL CONSTITUTE YOUR ACCEPTANCE OF SUCH CHANGES.

E. PACKAGES AND PLANS: 

1. Subscriptions: Each membership is tied to an individual patient; a separate Subscription is required for each person, except for certain plans intended for multiple members, e.g. the Family memberships.

2. Multiple Subscriptions: You may have multiple Subscriptions, when applicable.

3. Business Subscriptions: Details for Employer and Employee subscribers and the CRUZ CLUB BIZ memberships, including FAQs, can be found at https://www.cruzdavisdental.com/cruz-club.

F. FINANCIAL MATTERS: 

If you purchase a paid Subscription, you agree to pay us in advance as follows:

1. Subscription Billing Payments:

• Credit Card or ACH Payments: You may pay by credit card, debit card, or ACH payment from your bank account. Your card will be charged, or your bank account will be debited, on the day you select the Subscription offer and on the day of each renewal of your Membership, or according to the payment terms in any offer you accepted.

2. Payments: All payments must be made in U.S. Dollars. If you do not pay your balance, we will deactivate your Subscription for non-payment. If you choose to reactivate your Subscription, we will charge you a Reactivation Fee per membership.

3. Taxes: All amounts charged to your account may be subject to tax and is your responsibility.

4. Returned Payment Fee: If any financial institution refuses to honor your payment, you will be charged a $35 fee. This fee is not an interest charge, finance charge, or other charge of a similar nature and it is reasonably related to the actual expense we incur due to unsatisfied payment. 

5. Billing Disputes: If you have a question about your bill, please contact us by E-mail. If you wish to dispute any charge, you must contact us within thirty (30) days after the date of the charge in question. OTHERWISE YOU WAIVE YOUR RIGHT TO DISPUTE THE CHARGE.

6. Refunds: ALL SUBSCRIPTIONS AND FEES ARE NONREFUNDABLE.

7. We reserve the right to waive any fees at our discretion.

G. USE OF SERVICE:

1. Ability to Consent: To be able to agree to these terms, you must be at least 18 years old and able to enter into legally binding contracts.

2. Service Suspension: Subscribers may not temporarily suspend their paid Subscription.

3. Trademarks: Cruz Davis Dental®, Cruz Davis Family and Cosmetic Dentistry®, Cruz Davis Family & Cosmetic Dentistry®, CRUZ CARE®, Cruzie®, Smile With Pride®, CRUZ CLUB® and CRUZ CLUB BIZ® and all associated logos are trademarks, symbols, service marks or registered marks ("Marks") of Cruz Davis Dental PA. Any goodwill in the Marks generated as a result of your use of the Service will inure to our benefit.

H. RESOLVING DISPUTES BY ARBITRATION:

If legal action is necessary to enforce this agreement, said dispute will be resolved by binding arbitration, meaning that you are hereby waiving the right to go to court, including the right to a jury. In arbitration, a dispute is resolved by an arbitrator, or a panel of arbitrators, instead of a judge or jury. The parties understand that they would have had a right or opportunity to litigate disputes through a court and to have had a judge or jury decide their case; instead parties agree to have any disputes resolved through arbitration. The arbitrator's decision is final and binding on all parties and may be enforced in any federal or state court with jurisdiction.

Prevailing party shall be entitled to all legal costs, including attorney’s and arbitrator’s fees, as well as all interest applicable by law. All proceedings will take place in Alachua County, Florida.

I. MISCELLANEOUS:

1. Notices: Notices may be included in statements or other communications to you. Notices to you will be deemed given when either deposited in the mail or when sent by E-mail to the address we have on file at the time. Your notices to us will be deemed given when we receive them in writing at the E-mail address in Section A, above.

2. Full Agreement: This Agreement constitutes the entire agreement between us concerning your access to and use of CRUZ CLUB and CRUZ CLUB BIZ and may be modified by the unilateral amendment of this Agreement and the posting by us of such amended version. If any provision is declared by a competent authority to be invalid, that provision will be deleted or modified to the extent necessary, and the rest of this Agreement will remain enforceable. Any specific terms that expressly or by their nature survive termination shall continue thereafter until fully performed. A waiver of any terms or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. 

3. Applicable Law: Your monthly agreement is with the legal entity of Cruz Davis Dental, PA. The interpretation and enforcement of this Agreement shall be governed by the laws of the State of Florida.
